Terms Of Service ("TOS")

You agree that you are at least 18 years old and that you are legally able to enter into this agreement in the state, province or country in which you reside.
By clicking the "I have read and agree to the Terms of Service" button when you register as a member, you are deemed to have accepted the terms and conditions as listed below.
Additionally, by accessing and utilizing any of the material on our website, or accepting of any reward, bonus or commission whether contained in this agreement or else where on our web site, you are deemed to have agreed to be bound by all the terms and conditions set out in this agreement.
For purposes of clarity, the terms "we", "us" and "our" refer to JimmyTanGL.com and "you","your" and "Member" refers to the other party to the contract formed by the acceptance of these TOS.
The term "Merchant" is defined as any company that has contracted JimmyTanGL.com to promote their Site(s) and or products.
The contract provides you with the non-exclusive right to direct users ("Visitors") from your site or sites to the Merchant's websites, in return for the payment of commissions and referral bonuses as specified in the Merchant's product/s.

1) MEMBERSHIP FEE

Standard Members Plan
   * This is a recurring monthly subscription plan of USD19.95 (promotional period USD9.95 for the first 500 members).
   * Recurring subscriptions are based on the point of initial sign-up.
   * Currency exchange settlements are based on your agreement with your payment method provider.
   * With this plan, you are entitled to 1 download per day from our Membership download page.
   * Being a Standard member also lets you earn a commission when you refer any new member/s to our Site.

Lifetime Members Plan
   * This is a one-time subscription plan of USD679.00 (promotional period USD339.00 for the first 500 members).
   * Currency exchange settlements are based on your agreement with your payment method provider.
   * With this plan, you are entitled to unlimited downloads per day from our Membership download page.
   * Being a Lifetime member also lets you earn a commission when you refer any new member/s to our Site.

JimmyTanGL.com reserves the right to change pricing from time to time, but it will be posted on the Website before you incur any billing.
If you do not agree to these changes, then you must cancel and stop using the Website before the changes take place.

2) NO REFUND POLICY

Because our Site allows product to be downloaded for free once a member signs up, without any exception we have a NO REFUND POLICY.
For this reason, we strongly recommend that before payment, our visitors
   * Read our Terms of Service
   * Read our Privacy Policy
   * Do not allow children or other unauthorized family members or friends to access your credit cards or your account at the payment site to ensure that no one pays for a Membership without your permission.

By making a payment for Membership to our site, you acknowledge that you have read and agree to the above No Refund Policy.

3) COMMISSION AND REFERRAL BONUS

Please take note that we are using IP Log Expiration & Cookies to award commission to the first affiliate to send member to our Site within 1 day time cycle.
This means that when a customer clicks on an affiliate link, a tracking log is created for that customer.
The log is valid for the duration of 1 day.
While this customer has an open tracking log, a second tracking log cannot be created.
If this customer uses the same computer to click on an affiliate link referred by others through another website within the 1 day period, a second tracking log will not be created because this customer already has a valid tracking log.
The tracking log will credit the commission to the affiliate whose tracking log is active at the point in time when a sale is confirmed.
JimmyTanGL.com shall not be held responsible to determine the actual ownership of credit as all this allocation is automatically controlled by software.

Both Standard and Lifetime member share the same commission plan as described below:

If you referred any Lifetime member, you will receive a one-time flat commission of 40% of the prevailing Lifetime membership subscription when your referred member join our Site.

For the first 4 members (inclusive of both Standard or Lifetime member) that you referred:
    * You will get 25% commission for every active Standard member you referred to our Site.
    * All commissions are based on the respectively Standard member monthly subscription plan.
    * You will get recurring 25% commission every month when your referred member renew their subscription.
    * There will be no commission for you if your referred member defaulted on payment.

For the 5th to the 30th members (inclusive of both Standard or Lifetime member) that you referred:
    * You will get 30% commission for every active Standard member you referred to our Site.
    * All commissions are based on the prevailing Standard member monthly subscription plan.
    * You will get recurring 30% commission every month when your referred member renew their subscription.
    * There will be no commission for you if your referred member defaulted on payment.

If you referred more than 30 members (inclusive of both Standard or Lifetime member):
    * You will get 60% commission for every active Standard member you referred to our Site.
    * All commissions are based on the prevailing Standard member monthly subscription plan.
    * You will get recurring 60% commission every month when your referred member renew their subscription.
    * There will be no commission for you if your referred member defaulted on payment.

You have to maintain an active PayPal.com account in order that your commissions can be effectively transferred to you on time.
For any reason that you have changed your PayPal email account, you have to log-in to your member page and update your detail promptly to ensure payment due to you are not credited to the wrong Paypal account.
JimmyTanGL.com will send respective referral commissions to all members only once to their Paypal account as recorded at the time of commission payment.
Member shall not hold JimmyTanGL.com responsible for non-receipt of commission payment if Member do not update their Paypal account on our database promptly.
In order to reduce service charge that are chargeable to you for every fund transfer, we will consolidate payment once a month and you will be paid by latest on the second week of the next month when your referred member pays up.
For example, if you referred a member on 1st Jan, you will get paid for that referral by 14 February.
In any case, you will get automated notifications from our system whenever you have made/lost a commission.
In the event of Termination (Section 15), your referral commissions up to the last day of termination will payable to you after at the end of the next month to facilitate any outstanding balance you may owe JimmyTanGL.com.

4) INCOME LIABILITY

It is the Member's responsibility to declare taxes from their Member's profits, according to their country's regulations.
It is the Merchant’s responsibility to pay its members and JimmyTanGL.com will not be held responsible for the actions of its Merchants in regards to the payment of its Members.

5) PAYMENT CLAIMS AND HISTORY

JimmyTanGL.com will provide you with an online billing statement accessible online through your Member Account.
This is the only billing statement that JimmyTanGL.com provides.
If you need a paper copy, please log-in to your member page and print out the statement.
If JimmyTanGL.com makes an error on your bill, JimmyTanGL.com will correct it promptly after you tell us and JimmyTanGL.com investigates the charge.
You must tell us within 30 days after an error first appears on your bill.
You release us from all liability and claims of loss resulting from any error that you do not report to us within 60 days after the error first appears on your online statement.
If you do not tell us within this time, JimmyTanGL.com will not be required to correct the error.
JimmyTanGL.com can correct billing errors at any time.

6) EARNINGS & INCOME DISCLAIMERS

Neither JimmyTanGL.com, our Merchant nor the Author (refer to author of information product/s) intends, with this information, to render legal or other professional advice.
JimmyTanGL.com recommend that the reader seek the advice of an appropriately licensed professional.
Any purchase of marketing services or tools is non-refundable and use of such is done so at your own risk.
As with any business, we are not responsible for your action and your results may vary, and will be based on your individual capacity, background, business experience, expertise, dedication, and level of desire, motivation, the current market requirement and condition.
You should not rely on mere statements or illustrations of income, or any other information provided as fact or as definitive or expert advice in reaching your decision whether or not to get involved.
They have NOT be verified for accuracy or truthfulness.
If you rely upon income examples given you must fully accept the risk that you may not do as well, or that you could experience a total loss financially.
You agree that JimmyTanGL.com is NOT responsible for the success or failure of your business or your business decisions relating to any information presented by JimmyTanGL.com or the Site's products and/or services.

7) MEMBER ACCOUNT, PASSWORD, AND SECURITY

If any of the Services requires User to open an account, User must complete the registration process by providing JimmyTanGL.com with current, complete and accurate information as prompted by the applicable registration form.
User also will choose a password and a user name.
User is entirely responsible for maintaining the confidentiality of User’s password and account.
Furthermore, User is entirely responsible for any and all activities that occur under User’s account.
User agrees to notify JimmyTanGL.com immediately of any unauthorized use of User’s account or any other breach of security.
JimmyTanGL.com will not be liable for any loss that User may incur as a result of someone else using User’s password or account, either with or without User’s knowledge.
However, User could be held liable for losses incurred by JimmyTanGL.com or another party due to someone else using User’s account or password.
User may not use anyone else's account at any time, without the permission of the account holder.

8) DOWNLOADS

For security reason, after signing up as a member and you have chosen to download a product from our Site, your selected books will be sent to you via your registered email address that you signed up with us.
Your request will be sent to you within 2 calendar days.
Please update your email address and whitelist our email (downloadcenter@jimmytangl.com) in order that we can send your selected downloads to you effectively.
You agree that JimmyTanGL.com is NOT responsible if you do not update your email address with us or do not whitelist our email resulting in your requested downloads to land in your SPAM folder or non-delivery.
Standard members are entitled to 1 download per day or you can consolidate and download the total number of items for each month in a day.
You will be allowed 30 downloads once you signed up and each month is defined by the calendar month.
We shall use Singapore Standard Time (SST) as a standard in this section.

Example:

Someone joined on the 30th January, and utilizes his full downloads of 30 items by 31st January.
On 1st February, he will be allowed to download the quota for the month of February, another 30 items (please note that we will not use 28 or 29 items for the month of February for ease of control) until end of February and so on.
30 downloads will be allowed for each month except in the month of December, where 36 downloads will be allowed (taking into consideration for a leap year) ).
However, if he only uses part of his entitlement for the month (eg. 20 downloads, with a balance of 10 downloads) then the balance will not be credited to his next month download quota.

It is all member's responsibility to maintain an updated, active email email account in our database.
If you failed to do so, we will only resend the product you requested to you only once.
For Standard members, additional request to resend the same product will be taken as a new download and will add to your download quota for that period.
For Lifetime members, you have unlimited downloads and will not be affected by this rule.

9) LIMITATIONS ON LINKING AND FRAMING

You may establish a hypertext link to the Site so long as the link does not state or imply any sponsorship of your site by us or by the Site.
However, you may not, without our prior written permission, frame or inline link any of the content of the Site, or incorporate into another website or other service any of our material, content or intellectual property.
You agree that if you include a link from any other web site to the Site, such link shall open in a new browser window and shall link to the full version of an HTML formatted page of this Site.
You are not permitted to link directly to any image hosted on the Site or our services, such as using an "in-line" linking method to cause the image hosted by us to be displayed on another web site.
You agree not to download or use images hosted on this Site on another web site, for any purpose, including, without limitation, posting such images on another site.
You agree not to link from any other web site to this Site in any manner such that the Site, or any page of the Site, is "framed," surrounded or obfuscated by any third party content, materials or branding.
We reserve all of our rights under the law to insist that any link to the Site be discontinued, and to revoke your right to link to the Site from any other web site at any time upon written notice to you.

10) USER INFORMATION

In the course of your use of the "Site" (refer to http://www.JimmyTanGL.com and all it's sub-domains) and/or the services made available on or through the Site, you may be asked to provide certain personalized information to us (such information referred to hereinafter as "User Information").
JimmyTanGL.com's information collection and use policies with respect to the privacy of such User Information are set forth in the Site's Privacy Policy (http://www.jimmytangl.com/privacy.html) which is incorporated herein by reference for all purposes.
You acknowledge and agree that you are solely responsible for the accuracy and content of User Information.

11) CONFIDENTIAL INFORMATION

As used herein, "Confidential Information" shall mean all oral or written information, of whatever kind and in whatever form, relating to past, present or future products, software, research, development, inventions, processes, techniques, designs or other technical information and data, and marketing plans (including such information of third parties that a party hereto is obligated to hold as confidential), provided that such information has been reasonably identified as or could be reasonably considered to be proprietary or confidential, that either party:
(a) may have received prior to the date of this Agreement, whether directly from the other or indirectly from third parties; or
(b) may receive hereunder from the other.

Each party agrees that, with respect to its receipt of Confidential Information of the other party, it shall:
(i) use the same care and discretion to prevent disclosure of such Confidential Information as it uses with similar Confidential Information of its own that it does not desire to disclose, but in no event with less than a reasonable degree of care;
(ii) accept such Confidential Information and use such Confidential Information only for the purposes permitted hereunder; and
(iii) restrict disclosure of Confidential Information solely to those of its employees and agents who have a need to know and are obligated not to disclose such Confidential Information to any third parties.

The foregoing restrictions shall not apply to information that:
(a) is or hereafter becomes part of the public domain through no wrongful act, fault, or negligence on the part of the recipient;
(b) the recipient can reasonably demonstrate is already in its possession and not subject to an existing agreement of confidentiality;
(c) is received from a third party without restriction and without breach of this Agreement;
(d) was independently developed by the recipient as evidenced by its records; and
(e) the recipient is required to disclose pursuant to a valid order of a court or other governmental body; provided, however, that the recipient shall first have given notice to the disclosing party and shall give the disclosing party a reasonable opportunity to interpose an objection or obtain a protective order requiring that the Confidential Information so disclosed be used only for the purposes for which the order was issued.

12) PROHIBITED USER CONDUCT

This Site may include a variety of features, such as bulletin boards, web logs, chat rooms, and email services, which allow feedback to us and real-time interaction between users, and other features, such as personalized home pages and email services, which allow users to communicate with others.
Responsibility for what is posted on bulletin boards, web logs, chat rooms, and other public posting areas on the Site, or sent via any email services on the Site, lies with each user (you alone are responsible for the material you post or send).
We do not control the messages, information or files that you or others may provide through the Site.

It is a condition of your use of the Site that you do not:
    * Restrict or inhibit any other user from using and enjoying the Site.
    * Use the Site to impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
    * Use the Site or the services made available on or through the Site in any manner with the intent to interrupt, damage, disable, overburden, or impair the Site or such services, including, without limitation, sending mass unsolicited messages or "flooding" servers with requests;
    * Use the Site to instigate or encourage others to commit illegal activities or cause injury or property damage to any person.
    * Gain unauthorized access to the Site, or any account, computer system, or network connected to this Site, by means such as hacking, password mining, spidering, "screen scraping," "database scraping," harvesting of e-mail addresses, wireless addresses or other contact or personal information, other illicit means, or any other automatic means of obtaining lists of users or other information from or through the Site or the services offered on or through the Site, including without limitation any information residing on any server or database connected to the Site or the services offered on or through the Site;
    * Obtain or attempt to obtain any materials or information through any means not intentionally made available through this Site.
    * Use the Site to post or transmit any unlawful, threatening, abusive, libelous, defamatory, obscene, vulgar, pornographic, profane or indecent information of any kind, including without limitation any transmissions constituting or encouraging conduct that would constitute a criminal offense, give rise to civil liability or otherwise violate any local, state, national or international law.
    * Use the Site to post or transmit any information, software or other material that violates or infringes upon the rights of others, including material that is an invasion of privacy or publicity rights or that is protected by copyright, trademark or other proprietary right, or derivative works with respect thereto, without first obtaining permission from the owner or rights holder.
    * Use the Site to post or transmit any information, software or other material that contains a virus or other harmful component.
    * Use the Site to post, transmit or in any way exploit any information, software or other material for commercial purposes, or that contains advertising.
    * Use the Site to advertise or solicit to anyone to buy or sell products or services, or to make donations of any kind, without our express written approval.
    * Gather for marketing purposes any email addresses or other personal information that has been posted by other users of the Site.
    * Attempt (or encourage or support anyone else's attempt) to circumvent, reverse engineer, decrypt, or otherwise alter or interfere with the Site or the Site's services, or any content thereof, or make any unauthorized use thereof.

You understand that we have no obligation to monitor any bulletin boards, chat rooms, web logs, or other areas of the Site through which users can supply information or material.
However, we reserve the right at all times to disclose any information we believe necessary to satisfy any law, regulation or governmental request, or to refuse to post or to remove any information or materials, in whole or in part, that in our sole discretion are objectionable or in violation of these TOS.
We also reserve the right to deny access to the Site or any features of the Site to anyone who violates these TOS or who, in our sole judgment, interferes with the ability of others to enjoy our website or infringes the rights of others.

14) COPYRIGHT INFRINGEMENT
We respect the intellectual property rights of others, and require that the people who use the Site, or the services or features made available on or through the Site, do the same.
If you believe that your work has been copied in a way that constitutes copyright infringement, please forward the following information to JimmyTanGL.com Copyright Agent, designated as such pursuant to the Digital Millennium Copyright Act, 17 U.S.C. § 512(c)(2), named below:
    * Your contact information, including your address, telephone number, and, if available, email address;
    * A description of the copyrighted work that you claim has been infringed;
    * A description of where the alleged infringing material is located;
    * A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
    * An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest; and
    * A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or are authorized to act on the copyright owner's behalf.

15) NOTICES

Any other notices to JimmyTanGL.com shall be given by email to support@jimmytangl.com and by certified mail, return receipt requested JimmyTanGL Block 6 #08-201 St. George's Lane Singapore 320006.
Any notice to Users shall be sent by email to the email address provided by the User.
Email notices to a User shall be deemed delivered twenty-four (24) hours from the time the email is sent.

16) TERMINATION

JimmyTanGL.com may terminate, change, suspend or discontinue any aspect of the Site or the Site's services at any time.
JimmyTanGL.com may restrict, suspend or terminate your access to the Site and/or its services if we believe you are in breach of our terms and conditions or applicable law, or for any other reason without notice or liability.
JimmyTanGL.com maintains a policy that provides for the termination in appropriate circumstances of the Site use privileges of users who are repeat infringer of intellectual property rights.
Section 2 ("No Refund Policy"), Sections 11 ("Confidential Information"), 14 ("Copyright Infringement"), 17 ("Indemnification"), 18 ("Disclaimers of Warranties"), 19 ("Limitation of Liability"), 22 ("Waiver"), 23 (" Arbitration"), 24 ("Governing Law And Jurisdiction") and 25 ("Severability") of this TOS will survive the termination or expiration of this Agreement.
You may cancel your JimmyTanGL.com membership at anytime you desire, however there will be no refunds due to our NO REFUND POLICY.
The act of canceling can be made via email (cancel@jimmytangl.com) or using the cancellation form inside the member area, however the act of canceling does not constitute an automatic cancellation of your billing.
Please allow 2 calendar days for cancellation to take effect after receipt of your email.
If the effective cancellation date is after a payment has been processed, there will be no refunds for that payment.
Cancellation requests must contain your name, username and date joined.
If any of this information is missing, the cancellation request may not be processed and you are liable for all membership fees until JimmyTanGL.com receives required information.
Membership fees are monthly for Standard membership and lifetime for Lifetime membership.
Lifetime constitutes the lifetime of the member or JimmyTanGL.com.

17) INDEMNIFICATION

User agrees to defend, indemnify and hold harmless JimmyTanGL.com, its affiliates and their respective directors, officers, employees and agents from and against all claims and expenses, including attorneys' fees, arising in any way from your use of the Site, your placement or transmission of any message, content, information, software or other materials through the Site, or your breach or violation of the law or of these TOS.
JimmyTanGL.com reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate with JimmyTanGL.com's defense of such claim.

18) DISCLAIMER OF WARRANTIES

The Site, including, without limitation, all services, content, functions and materials provided through the Site, are provided "as is," "as available," without warranty of any kind, either express or implied, including, without limitation, any warranty for information, data, data processing services, uptime or uninterrupted access, any warranties concerning the availability, playability, displayability, accuracy, precision, correctness, thoroughness, completeness, usefulness, or content of information, and any warranties of title, non-infringement, merchantability or fitness for a particular purpose, and we hereby disclaim any and all such warranties, express and implied.
We do not warrant that the Site or the services, content, functions or materials provided through the Site will be timely, secure, uninterrupted or error free, or that defects will be corrected.
We make no warranty that the Site or the provided services will meet users' requirements.
No advice, results or information, whether oral or written, obtained by you from us or through the Site shall create any warranty not expressly made herein.
JimmyTanGL.com also assumes no responsibility, and shall not be liable for, any damages to, or viruses that may infect, your equipment on account of your access to, use of, or browsing in the Site or your downloading of any materials, data, text, images, video content, or audio content from the Site.
If you are dissatisfied with the Site, your sole remedy is to discontinue using the Site.
We try to ensure that the information posted on the Site is correct and up-to-date.
We reserve the right to change or make corrections to any of the information provided on the Site at any time and without any prior warning.

19) LIMITATION OF LIABILITY

In no event, including but not limited to negligence, shall JimmyTanGL.com or any of its directors, officers, employees, agents or content or service providers (collectively, the "protected entities") be liable for any direct, indirect, special, incidental, consequential, exemplary or punitive damages arising from, or directly or indirectly related to, the use of, or the inability to use, the Site or the content, materials and functions related thereto, your provision of information via the Site, lost business or lost sales, even if such protected entity has been advised of the possibility of such damages.
Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages so some of the above limitations may not apply to certain users.
In no event shall the protected entities be liable for or in connection with any content posted, transmitted, exchanged or received by or on behalf of any user or other person on or through the Site.
In no event shall the total aggregate liability of the protected entities to you for all damages, losses, and causes of action (whether in contract or tort, including, but not limited to, negligence or otherwise) arising from the terms and conditions or your use of the Site exceed, in the aggregate, the amount, if any, paid by you to JimmyTanGL.com for your use of the Site or purchase of products via the Site.

20) PHOTOSENSITIVE SEIZURES

A very small percentage of people may experience a seizure when exposed to certain visual images, such as flashing lights or patterns that may appear in video games or other electronic or online content.
Even people who have no history of seizures or epilepsy may have an undiagnosed condition that can cause these "photosensitive epileptic seizures" while watching video games or other electronic content.
These seizures have a variety of symptoms, including lightheadedness, disorientation, confusion, momentary loss of awareness, eye or face twitching, altered vision or jerking or shaking of arms or legs.
If you experience any of the foregoing symptoms, or if you or your family has a history of seizures or epilepsy, you should immediately stop using the Site and consult a doctor.

21) FORCE MAJEURE

Neither party will be responsible for any failure or delay in performance due to circumstances beyond its reasonable control, including, without limitation, acts of god, war, riot, embargoes, acts of civil or military authorities, fire, floods, accidents, service outages resulting from equipment and/or software failure and/or telecommunications failures, power failures, network failures, failures of third party service providers (including providers of Internet services and telecommunications).
The party affected by any such event shall notify the other party within a maximum of fifteen (15) days from its occurrence.
The performance of this agreement shall then be suspended for as long as any such event shall prevent the affected party from performing its obligations under this agreement.

22) WAIVER

No waiver of any breach of any provision of this Agreement shall constitute a waiver of any prior, concurrent or subsequent breach of the same or any other provisions hereof, and no waiver shall be effective unless made in writing and signed by an authorized representative of the waiving party.
Our failure to exercise or enforce any right or provision of the TOS shall not constitute a waiver of such right or provision.

23) ARBITRATION

Each party to this Agreement expressly agrees that all disputes, claims or controversies that exist or may come to exist between them including, without limitation, all disputes, claims or controversies that exist or may arise out of, under or in connection with this Agreement, first to binding arbitration located in Country, Singapore in accordance with the Singapore International Arbitration Centre.
The parties agree that judgment upon the arbitration award will be final, binding and conclusive upon each party and may be entered into any court having jurisdiction.
In the case of action under this Section, the prevailing party shall be entitled to recover its costs of the proceeding, including reasonable attorneys' fees and out of pocket expenses.

24) GOVERNING LAW AND JURISDICTION

The TOS, and the relationship between you and us, shall be governed by the laws of Singapore, without regard to conflict of law provisions.
You agree that any cause of action that may arise under the TOS shall be commenced and be heard in the appropriate court in Singapore.
You agree to submit to the personal and exclusive jurisdiction of the courts located within Singapore.

25) SEVERABILITY

If any provision of the TOS is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the TOS remain in full force and effect.

26) AMENDMENTS TO TOS

JimmyTanGL.com reserves the right, at its sole discretion, to change, modify, add or remove any portion of the TOS, in whole or in part, at any time.
Changes in the TOS will be effective when posted.
Your continued use of the Site and/or the services made available on or through the Site after any changes to the TOS are posted will be considered as acceptance of those changes.

27) HEADINGS

Headings and captions are for convenience only and are not to be used in the interpretation of this Agreement.

28) ENTIRE AGREEMENT

This Agreement, the privacy policy, domain licenses and any operating rules for JimmyTanGL.com constitute the entire agreement of the parties and supersede all previous written or oral agreements between the parties.
